This License Agreement (“Agreement”) is made between AV LightCraft (“Licensor”) and the Client (“Licensee”) upon engagement of AV LightCraft’s videography services and governs the use of the Deliverables.
DEFINITIONS
Client
The person or entity engaging AV LightCraft’s services.
Deliverables
The video footage and edited products provided by AV LightCraft.
Paid Commercial Services
Videography services provided for a fee.
Free Services
Videography services provided at no cost.
Agreed Commercial Purpose
The specific use of Deliverables for public presentation and commercial publication.
Agreed Free Service Purpose
The specific use of Deliverables for non-commercial publication, including portfolio display, personal promotion, and sharing on social media platforms, as agreed between the parties.
PAID COMMERCIAL SERVICES
License Type
The default license is Non-Exclusive, allowing the Licensee to use the Deliverables for the Agreed Commercial Purpose.
Use Restrictions
Deliverables may only be used for the Agreed Commercial Purpose.
No sub-licensing, distribution, or transfer to third parties without written consent from AV LightCraft.
No modifications or alterations without written consent.
Ownership
AV LightCraft retains ownership and all intellectual property rights unless the Licensee acquires an Outright Purchase License.
FREE SERVICES
License Type
Deliverables may be used for the Agreed Free Service Purpose, including non-commercial publication, portfolio display, personal promotion, and sharing on platforms such as YouTube or TikTok. Any commercial use beyond this requires prior consent.
Use Restrictions
No commercial use outside the approved non-commercial platforms.
No sub-licensing, distribution, or transfer to third parties without written consent from AV LightCraft.
No modifications or alterations without written consent.
Ownership
AV LightCraft retains ownership and all intellectual property rights.
TERMINATION
Either party may terminate this Agreement by providing 30 days’ written notice. AV LightCraft reserves the right to withdraw consent if the Licensee misuses the Deliverables or breaches any Agreement terms.
Upon termination, the Licensee must:
Cease all use of the Deliverables.
Return or destroy all copies (except those retained strictly for archival purposes).
Pay any outstanding fees within 30 days.
Remove all existing uses of the Deliverables from public platforms within 60 days.
ACKNOWLEDGMENT
By engaging AV LightCraft’s services, the Client acknowledges understanding and acceptance of this Agreement.
